Terms and Conditions of Use

Primavatech Innovación y Desarrollo, S.A. de C.V. (hereinafter, "Klya.ai"), domiciled in Guadalajara, Jalisco, Mexico, owns and operates the Klya.ai platform (the "Software") and the website www.klya.ai (the "Site").

Klya.ai is an intelligent business management platform that integrates, among other modules, customer relationship management (CRM), quotations, electronic invoicing, digital forms, document management, human resources and artificial intelligence assistants configurable by each organization.

These Terms and Conditions (the "Terms") apply to the use of the Site, the Software and the services offered through them (the "Services").

1. Acceptance of the Terms

By clicking or checking the box titled "I accept the terms and conditions", or by simply using the Site or the Software, the user declares that they understand and accept the content and legal scope of the Terms and agree to comply with them, thereby becoming a user (the "User"). If for any reason the User does not wish to be bound by the terms set out in this document, they must refrain from using the Software.

In the event of a breach of the Terms by any User, Klya.ai reserves the right to suspend or terminate the provision of the Services and/or withdraw or deny access to the Software, at any time and without prior notice.

2. Description of the Service

Klya.ai is an AI-assisted business management platform that includes, among others:

  • Management of customers, opportunities and activities (CRM).
  • Generation of quotations, cost estimates and commercial proposals.
  • Electronic invoicing (CFDI) through authorized certification providers.
  • Digital forms, document management and document generation (Excel, Word, PDF).
  • Human resources, inventory, purchasing and travel expense modules.
  • Artificial intelligence assistants and process automation.
  • Integration with external systems (ERP, email, storage and other services).

The authenticity, truthfulness, origin and legality of the information uploaded to the Software are the sole responsibility of the User. The platform is an assistance tool and does not provide legal, tax or regulatory consulting services.

3. License of Use

Klya.ai grants the User a limited, non-exclusive, non-transferable and revocable license to access and use the Software for the purpose of assisting their business operations. This license does not grant the User any ownership rights over the Software or its components.

4. Artificial Intelligence Limitations

  • AI agents provide assistance and suggestions; they do not replace the professional judgment of the people responsible.
  • Every AI-generated deliverable requires human review and approval before its final use.
  • Critical numerical calculations are performed with specialized deterministic tools; the AI coordinates but does not compute.
  • Klya.ai does not guarantee the absolute accuracy of AI-generated responses.
  • It is the User's sole responsibility to verify the accuracy and suitability of the content generated by the Software.

5. User Accounts

  • Access to the Platform requires an account authorized by your organization.
  • The User is responsible for maintaining the confidentiality of their access credentials.
  • The User must immediately report any unauthorized use of their account.
  • Assigning, sublicensing or transferring access to the Software to third parties not authorized by Klya.ai is prohibited.

6. User Obligations

The User agrees to:

  • Use the Software exclusively for legitimate professional purposes.
  • Not attempt to access data or features not authorized for their role.
  • Not introduce malicious content, viruses or harmful code.
  • Comply with all applicable laws and regulations.
  • Not use reverse engineering or decompilation techniques on the Software.
  • Not interfere with the proper operation of the Software.

7. Klya.ai Obligations

  • Maintain the operational functionality of the Software in accordance with the agreed service levels.
  • Provide technical support to the User during the established support hours.
  • Safeguard the confidentiality of the User's information through security measures aligned with international industry standards.

Klya.ai shall not be liable for data entry errors, nor for the information used by the User through the Software. Nor shall it be liable for Service interruptions due to force majeure or technical failures beyond its reasonable control.

8. Intellectual Property

The Software and the Site, including their source code, design, architecture, models, trademarks and documentation, are the exclusive property of Klya.ai and are protected by applicable intellectual property laws. The documents and deliverables generated through the Software are the property of the User or their organization in accordance with the license agreements in force.

9. Confidentiality

Both parties agree to maintain the confidentiality of the information shared through the Platform. Klya.ai will not share the User's information with third parties except with the User's express consent or upon request from a competent authority.

10. Privacy

The use of the personal information provided by the User is governed by the Privacy Notice, which is incorporated into these Terms by reference. By using the Site or the Software, the User acknowledges that they have read and accepted the Privacy Notice.

11. Disclaimer of Liability

To the fullest extent permitted by law, Klya.ai shall not be liable for damages and/or losses that the User may suffer in connection with these Terms, the content or the Services. Klya.ai's total liability is limited to the amount paid by the User in the last 12 months.

12. Indemnification

The User agrees to indemnify and hold harmless Klya.ai, its subsidiaries, affiliates, officers, agents and employees from any loss, liability, claim or demand, including reasonable attorneys' fees, arising from the use of the Software in violation of these Terms.

13. Amendments

These Terms may be amended by Klya.ai at any time. The User will receive a notification of any amendment. Continued use of the Software constitutes tacit acceptance of the Terms in force.

14. Governing Law

These Terms are governed by and construed in accordance with the applicable laws and are subject to the jurisdiction of the competent courts of the City of Guadalajara, Jalisco, Mexico, waiving any other jurisdiction that may correspond to the User or to Klya.ai by reason of their present or future domicile.
